Wupdater.exe 1

When I shut down Windows 2000, one program has to be manually terminated because "program is not responding". This is wupdater.exe. My question is what is wupdater.exe (the name gives me a hint but I want to be sure). And how can I fix this problem of having to manually terminate wupdater.exe. Many thanks in advance.
 
Forgot to add, if whatever your using to deal with spyware doesn't find it here are some manual instructions.

There are two places in which that file and references to it reside. The executable file itself is in C:\Program Files\Common Files -- it needs to be removed from there. The second entry is in your registry. You'd need to delete the key in HKEY_LOCAL_MACHINE\Software\Microsoft\Windows\CurrentVersion\Run to prevent it from trying to start with Windows. Start > Run > regedit. Look for the wupdater.exe key on the right, right-click it, and delete.

I heard somewhere that this may come with the Roxio install? Who knows.
