Windows XP Pro booting error

I'm having Win-XP Pro installed on a new machine with Spyware Guard and Antivirus on FAT32. Yesterday at working time, 3 IE windows were open along with MS-Word. Due to some power fluctuation, it went OFF and started again. Now it's giving error for PCI.sys.
How do I repair this? Do I require a Win-XP bootable CD?...I don't have this right now...
Are there any chances of failure of other files too?

After the power fluctuation, it went down and then started beeping with screen showing blinking LED...So I interchanged the RAM modules, means 256MB from slot1 to slot2 and 256MB of slot2 to slot1. Then the machine got it's display back showing this error. So shall I go with above solutions in such a case?

Yes.
It would help if you could provide the complete error message. But generally, pci.sys errors indicate a problem with RAM.

Running ChkDsk /r from the Recovery Console might be worthwhile. You will need to find, beg, or borrow a XP or 2000 CD to load it, unless you try the link supplied.

As you are FAT32 (why?) you might get away with running ScanDisk from a 9x Startup floppy?

Some general things to try.

Try Safe Mode (Do you have this problem in Safe Mode?).

If in the unlikely situation Safe Mode works, see if System Restore will get you back to a restore point before your problem with XP.

If they don't work you could try repairing windows by running it over itself. You will lose all your windows updates but your files will be untouched.
