windows wants to install non-exitent modem

W2K (fresh install) keeps wanting to install a modem that does not exist. There is no modem in the box at all.
When I uninsall it in DM it just comes back on restart.
There is a Video Controller (VGA Compatible) as well that has the yellow "!" which won't go away.
MS says "uncheck all options" in where to look for the drives to install but that doesn't do it either...

Help, please. this is making me nuts (like I need help, eh?)

there might be an embedded modem controller on your motherboard despite the lack of a connector jack. the answer lies in identifying your motherboard model and/or its corresponding chipset. then you can get the correct drivers for the video as well (assuming its integrated and not an add-on card) from the manufacturers website.

can you look to see if you have any manuals for the motherboard, or look on the board itself for a manufacturer's name and a model number?

 
If you do not find another solution, and this is not causing other problems or errors... disable it in DM (disable, do not uninstall). That should stop the "Found new hardware" wizard from trying to install it every time you boot.
