what does start/shutdown/shutdown do?
stops at it is now safe to shut down?
restarts the computer?
hangs?

Windows ME system Just Hangs, it doesn't power down

alot of things could cause this, corrupted or bad driver,
corrupted exit sound wave..(try changing your sound scheme)
a program that is running that is not exiting (run msconfig and shut all startup programs then try to shut down) if it shuts down now start putting them back 1 at a time to you find the culprit.
check for virus
check for spyware (run adaware and/or spybot )

as you can see there is alot of things that may cause this.

go thru this article and see what you can find:

Probably it can't shut down some program. Do Cntrl Alt, Del and see what is still running. Click on it and do End Task. Note what the program is first. If Me shuts down after that then whatever the program was you End-Tasked is causing the problem.
