I am currently running Win2000 Server w/Active Dir. It's domain names is corp.123.com.

What i want to do is migrate that Win2K to Win2k3 Server to a new server w/all the DNS settings, etc..But the new domain should be corp.com only.

Is there a way to keep the same Server name, but change to the new domain name and migrate all the DNS, Global Catalog, etc.....

Can anyone recommend if it feasible or any ideas?

Yes. It's possible if you have W2k3 AD functional level. With W2k DC it's not possible.
What you can do:

1. Upgrade W2k AD DC to W2k3 AD DC. (in place upgrade. If you can do it, in your case, of course)
2. Set W2k3 Forest/Domain functional level.
3. Rename the domain.

The one thing I'd like to mention is that Domain rename is not a staightforward task and potentially can lead to serious infrastructure issues.
