My firm is trying to upgrade an existing windows 2000 domain with active directories. We have clean installed windows 2003 on a machine to act as the "PDC". But we cannot run Adprep /forestprep or /domainprep. The active directory gives errors on the other two(2) existing Domain Controllers and they do not replicate. If someone is versed in 2003 issues lemme know

Hmmm, w2k active directorIES? You mean multiple forests? I assume 1 forest with multiple domains.

On your schema master (there's only 1 in the entire forest) run adprep /forestprep from the w2k3 cd. On a DC (1 of each domain in the forest) run adprep /domainprep. This will make your forest (the schema in the forest) ready for w2k3 (be careful for GC replication) and your domain (at least the one in which your run /domainprep) ready for w2k3.

You cannot run adprep on a new w2k3 machine because it is meant to upgrade w2k DC's. Once this is done you can run dcpromo on the w2k3 machine and join the w2k domain.

I forgot to mention this the "New" server has the name of the root server(server holding all rolls) that we are trying to replace. It has to be the server that everyone logs onto. We restored the system state of the prevuious server onto it but no replication. We need replication for adprep to run.
