Windows 2000 to 2003 server replacement tools?

I am looking at replacing a Windows 2000 Small Business Server and domain controller with a new machine running 2003 Small Business Server. The old box also runs a fairly complicated Exchange server setup. I am looking for tools that would make this as painless as possible, something that would backup and then migrate all the Exchange, Active Directory, and data file structure to the new box. This is an hardware upgrade, i.e. the new server needs to be the DC and have the same domain and machine name and replace the old box physically, so I can't have both on the network at the same time (unless there is some kind of DCPROMO way to do that) The old server is a PowerEdge 2300 running RAID 5, so ghosting then upgrading is out. Any suggestions?
 
Difficult. The only way that really springs to mind is to use an intermediate machine - a high specced PC should do - migrate everything to this machine, then migrate back.
