Windows 2000 AD upgrade to Windows 2003

Hi,
I am trying to upgrade W2K AD to W2K3. The adprep works fine no issues.

I am doing an inplace upgrade of the domain controllers ( 2 of them ), i kick off the upgrade to Windows 2003 SP2 ( current servers are running windows 200 sp4 ). The upgrade runs through ok no issues however on a reboot i get the following error

lsass.exe Access Denied ( A Process has requested access to an object but has not been granted those access rights )

any idea how to sort this out or what it could be ????
