Why wont my cards accept a TCP/IP binding?

i am trying to setup a lan on a win98 first edition computer. ive installed a second ethernet card to connect to the lan, and my other computer has a ethernet card with the tcp/ip binding just fine. For some reason, neither the cable modem's card nor the new card i have installed will keep a binding to tcp/ip. if i get one to have the binding by reinstalling the tcp/ip protocol, it asks to restart and then when i return its gone. any clues on how to get this working or any kind of work arounds?
