I found it in my computer at c:\program files\Microsoft visual studio\common\tools\clireg and c:\program files\Microsoft visual studio\vfp98\distrib.src\System so I think you can find it in visual Studio CD. I have windows 2k and ME installed in the same machine, maybe it came with the os also. what is your OS?

My partner & I learned the hard way on this.. My guess is you do not have the right level of VB6..
We had VB6 Developers & VB6 professional.. Neither have cliReg32.. And it is not offered.. This controls wether or not you can do DCOM.. And this is one of the features that makes VB6 Enterprise & Studio the more pricy programs...
When buying VB and just learning VB.. This feature is not obvious as a neccessity & you may be like us and figured it not a needed feature.. It is a bitter pill to swallow as you learn VB and find it really is a needed feature to do buisness apps..
YOU may be lucky enough to find where to get the necessary dlls.. But my partner & I spent frustrated days and gave up until a recent need to get a 3rd package allowed us to go for VB6 studio (hard to find now-a-days) but if found discounted due to the new VB Net.
