VPN and Dial-Up Issues

I was recently designated the task of putting together a VPN and dial-up server for a small office of 20 employees. Here's what I have:
Dell PC
2 Modems (1 ISA, 1 PCI)
2 NICs- DSL access

The first problem I'm having is with the server itself, I can access shares on the internal network with the run command but cannot see anything on the domain (says it's not accessible through my network places). What could cause this?
Secondly, I originally wanted to use a serial port modem and the PCI, but the serial modem would continually shut off and would not be found under modems in control panel.
Lastly, when I test the telephone lines, they just ring continually. What is the problem here? Any and all suggestions is appreciated.
