VB.net on 64 Bit Server Question

Looking for a definitive answer. I have a VB.net 2003 app running on a 32 bit server using SQL 2000. They are looking to move to a 64 bit server. It's my understanding that the app will run under WOW64 on a 64 bit server. I can move the app to VB.net 2008 that I believe will run under 32 or 64 bit. Are these assumptions correct?

32-bit app should be able to run on a 64-bit system just fine.

It depends on how you compiled your application. If the target is any, it will actually run as 64bit and not under wow64.
