Validating pages with Flash content

I have recently built a site that uses some Flash content for internal "ads" highlighting particular parts of the site.

My questions are:

1) How does one embed the flash content in such a way to allow the page to validate?

2) Does anyone have a method for showing an image in place of the flash if the user doesn't have the flash plugin. I know this will involve JavaScript but I thought I would ask here in case there is another way to do it.
