Upgrading to windows2003/Exchange2003

Hi,
I run windows2000 server with AD/PDC along with exchange 2000 server on the same machine. It's a small organisation with 40 people. I am wondering how to upgrade this to a windows2003 w/exchange2003 platoform step by step. I would like to keep the same server hardware. Eventually i would like to move to a better sever hardware too. My only worry is the downtime for a prolonged time! Can somebody shed light on this what to do?. Thanks.
