Upgrading from Windows 2000 Server to Windows Server 2003

I know this question has been asked a million times but I think I have a unique situation here. Just found out that implenting active sync for my treos will require IIS 6. So now I am forced to upgrade my PDC to Windows 2003 Server. I do not have a BDC just this one PDC which also runs Exchange 2003. Will I be fine to just do an upgrade to this pdc? I have 4 member servers - 3 of which are on Windows Server 2K and 1 on NT4.
