Upgrade to microsoft windows 2003

Currently on our network we have a small server which runs windows server 2000, SBS 2000 & exchange 2000!

However the server is pretty old and i dont like the sound of the hard drive, sounds like its on its way out!

I am looking to copy the contents of the hard drive on to a brand new drive!

I would also like to upgrade the hardware(brand new server) and also upgrade to server 2003!

could some knowledgeable character please instruct on the most efficient way to go about this process?
