Upgrade question (before I screw everything up...)

I have just upgraded our NT.40 network to 2000 based Active Directory. Now I am faced with upgrading our Exchange 5.5 Server to a new Exchange 2000 Server.

I took a look at the FAQ, and seached this forum but am still so confused. Is there a simple 1,2,3 guide on how to make this happen?

I have done it before at my old job, and it didnt go to well. Hence I am really worried.

Also, I have the option of upgrading directly to Exchange 2003 if that would make the process easier.
