Upgrade NT 4.0 to enterprise edition

Hi,
In my organisation i got one pdc,one bdc, and one exchange server 5.5 and NT 4.0 sp6.

Now i want to add one more BDC in my organisation.

And i want to implement NT enterprise edition to do my clustering for one of my BDC and exchange that is clustering between one BDC and exchange server 5.5.

so that my set up should look like this after finishing the installation.

PDC - Provide authentication, DNS,WINS and DHCP services.

BDC - Provide print, File and MAC services.

BDC - Provide replication to the PDC and BDC as well as clustering to the exchange server.

so what and all the steps i have to follow
