Although I have searched , I cannot find how to upgrade a driver for NIC.

I downloaded the 'tar' file. I put it in an empty directory and opened it. I know how to do it in win98 but I am unable to find the method to do it for Linux.

I know the location of the net directory holding the current driver is
/lib/modules/2.4.7-10/kernel/drivers/net

man insmod did not help.

Thanks for any assistance One Code to rule them all, One code to bind them.

If it is compiled module, place it into directory you mentioned and 'insmod' it. If it is source code, you have to compile it and I bet there are instructions included. If not... well, you have to find some manual related to kernel compilation. It is not a trivial task...

How do you know the NIC driver is the problem?? Did the log file say that??

I think it would be easier to upgrade the whole kernel if the binary driver won't fit.

What kernel do you have now?? Download a newer one and I'll guide you through it.

system was hanging/freezing/locking at random intervals.(sometimes days/weeks go by) I did a search on compatible 3com nics and found that a linux driver was available although 'not supported'. nic is 3c980c-txm.

No I don't know that the nic is the problem, just trying to look for answers at this point. I started the GNOME system monitor and left it running, system stayed up overnight, I will wait a few days and see what happens. System is in test phase and not in use until this is resolved.
1-) I intend to switch out the memory and try again
2-) I will switch the nic with a known good one 3c905b
3-) If that fails I will update the kernal

Thanks for your assistance, I will succeed eventually )

Isn't it easier to start with the free stuff first??
If you install the new kernel all the newest drivers will be installed as well. It will also give you some experience with the process.
It might come in handy :)
