UPgrade Nam II Motherboard w/processor to Nam3

I have a NAM II, V.4 software, and a 16 port fiber card. I wanted upgrade the NAM II main board and processor (Pentium 100) to the NAM III main board with the AMD 366 processor and sdram. I have access to a NAM III board and processor but I do not know if they are compatible. I guess my question is, Can the Nam III board With the Faster processor just plug into the same slot as the mainboard of the NAM II and work??
