ungrade of 5.5 to 2000

Hi peeps, i have a situation , i have to upgrade/move a ex 5.5 to ex2k , exchange 5.5 is running on winnt box, I want to move it to a new win2k box
how do i go about the upgrade ?

i was thinking
-exhange 5.5 (ADC)
-then install a second exchange 2k server in the same org and then move the mail boxes.
-test
-then remove the exchange 5.5(box) completely from the network

will it work ????
anything i need to lookout for ?
