1. Backup your databases.
2. shut down the source server.
3. In ADUC, rest the computer account of the source server.
4. Load the OS on the destination server, joining the domain with the same name.
5. service packs, etc.
6. Install exchange on the destination server with the /disasterrecovery switch
7. Service packs, backup agents, antivirus,etc.
8. Restore from tape to the destination server.
Is it just an exchange server? You can load Exchange on it and move the mailboxes one or a few at a time at your own pace using ADUC. Then when the Outlook client tries to connect to their mailbox, it will automatically be changed to use the new server.
There is an MS article that describes this in more detail how to remove the first server- you need to move Offline address books/pubilic folders/connectors.
Also remember you may need to change firewall rules to enable the new server for outbound inbound smtp.
It just seems so much simpler to use the disaster recovery install to move to new hardware, and it's supported. As a bonus, you get to keep the same name.
