SQL Server error '80004005'

hi i' getting this error:

Microsoft OLE DB Provider for SQL Server error '80004005'

[DBNETLIB][ConnectionOpen (Connect()).]SQL Server does not exist or access denied.

I thought it was the mdac so i upgraded to version 2.8, still the same problem, i testing the connection string with the sa & password, i just set up the sql2k box and finished with updates. Any suggestions?
 
What OS and service pack are you running?

from the client that can't connect telnet to the SQL Server port 1433. If you can not connect, there is a firewall that is stopping you from connection.
