SIGTERM error on start

After upgrading my apache from 1.3.9 to 1.3.20 i get en error went i run
/etc/httpd/bin/apachectl start
the error states that apache couldnt be started

when i look at the error log i get this :

[crit] Midgard initialization failed
[crit] (98)Address already in use: make_sock: could not bind to port 64
[notice] caught SIGTERM, shutting down
---------------------------------------------
