Server unable to allocate Virtual Memory (Event ID 2016)

I'm running SBS 4.5 Service Pack 6a on a Compaq Proliant 1600....and I'm encountering unable to allocate Virtual Memory errors, which are halting services without warning. Unfortunately, this is the sole server...running Exchange 5.5, SQL 6.5, IIS 4.0. It seems to be happening weekly. By the way it has 256 MB or Ram...the pagefile is off the systems partion and on Drive D:, which the virtual memory setting is Minimum 267 and Maximim 277. Any advice would be of great value since I can't or at least havent till this point found anything to remedy the situation.
