I am planning to purchase a new server. Do I get it with 2003 or 2008.
Currently all servers in the domain are 2003 R2 with Exchange 2007/SQL 2005
The new 2008 server will be running AD and a file print server, but exchange 2007 will remain on 2003 and will this be a problem?
Will the 2008 server then take over the FSMO roles and would there be any conflicts e.g. GPOs

I'd go with 2008

Can't see any problems with this, unless the 2003 server that runs Exchange is a domain controller??

If you move the FSMO roles to the new 2008 DC then yeah.

For the 2008 box to become a domain controller you'll need to run the relevant adprep commands;

MCSA:2003
MCSE:2003
