Server 2003 DC and applying GPO's

ALL,
I have been running into an issue for sometime now and I cannot seem to fix it. Every five minutes I get this error in the Application log...

Thanks I have looked through eventid and tried just about everything on there. Nothing seems to work and best of all I cannot seem to find anyone having the same issue as me. (With the Insufficient System Resources error). I have run all types of tests ie. dcdiag, performance counters, network monitor, replmon, etc. Everything comes back fine and the DC seems to be running perfectly as a DC. However I cannot apply GPO to this DC or edit them on the DC.
