SBS 2003 on Windows 2000 w/ Exchange 2k

We are planning on upgrading our Windows 2000 Server that has Exchange 2000 loaded on it to Small Business Server 2003 Premium that comes loaded with Exchange 2003. Will there be any issues with this upgrade on both the OS and Exchange? Or will I be forced to do a fresh install? What would be the best method for me to backup the Exchange 2k database so that I can place it in the 2003 version?

There are migrating wizards to guide you through that in Exchange 2003.
As for the OS, a fresh install on another server is always 'cleaner'. Otherwise, do an upgrade after a double full backup, and CHECK your backup before you really need it.
