rmtshare error 998?

I am trying to create remote shares on Win2k using the rmtshare command. I have done this a million times back in the NT days no problem. Now for some reason it is giving me Command Failed Error 998 which I cannot find on the net to save my butt.

rmtshare \\servername\username=d:\usr\folder /grant username:C

Also note I can omit parts all the way back to the = without the error message changing?

The path does exist that I am trying to share to. I have tried on/from multiple machines.
