Replace NT 4.0 Server with Windows 2K Server

Here is the scenario, the site has ONE server which is an NT 4.0 PDC, which is also running MS Exchange 5.5 and SQL.

I need to replace this server with a completely new W2K box. What would be the best routine for this scenario?
Here is what I was thinking:

1) Upgrade the NT PDC to W2K
2) Put the new server online and run DC Promo.
3) Migrate all data / applications to the new server.
4) Decomission the old server.

 
I would go this route:

New box.. Install NT 4.0 as a BDC with SP6a... with only the services needed... check event viewer for errors... Full backup of your old server (PDC) the promote the new server to a PDC. Install Win2k Server on the new box that is a PDC.

If all goes well the you can reinstall apps the restore data from the old server.

If it fails you can take the new box offline and promote the old server back to a PDC.

One note: as for exchange you might run into issues with the new box. you will not be able to restore the databases because machine name will be different. you will have to migrate the users.
