Hi,
I have mail server and exchange installed on SYSTEM A and I want system B to be a backup of SYSTEM A so when system A is down system B will receive all the mails and when SYSTEM A is up SYSTEM B will send all the mails back to the SYSTEM A
 
or are you talking aboutn having a backup mx server so that the mail from the internet is held rather than bounced?
 
Yes I want to prevent my mails from bouncing
 
Well, a backup MX won't do what you requested in the original post. It merely allows you to specify another host to receive email. The problem is that backup MX servers are sometimes primary spam targets.

DoubleTake will allow for failover (similar to clustering).
