"Closing network connections" hangs until hard reboot

I have 2 computers in an AD domain running XP SP2 that simply will not shut down. It will hang on "Closing network connections" for days and days until it is manually shut off and restarted.

What I've done:
1) Swapped cables
2) Disconnected all mapped network drives and printers and tried again
3) Disabled power management on NIC card
4) Rebooted remotely using VNC and it works like a charm.

Any ideas? No errors are reported in the event logs.

 
Does it Shutdown from Safe Mode or Safe Mode With Networking?

If so, try to isolate any third party interference with this.
