I can give you a partial answer. The upgrade will probably involve flashing your ROM, which means wiping it and overwriting it with new data. That means that you won't be able to get the old version back.
If you do get an upgrade it will have to be a specific one for your device and will come from the manufacturer, not Micro$oft. Their web site should have the price but for my Viewsonic it costs 40 US dollars.
All the reviews I've read say that 2003 is better than 2002, but unless you're unhappy with what you have there's not much point in changing in my opinion. I believe the main improvements are to do with wireless connectivity, which I don't use. Upgrading to 2003 is the only way of getting Media Player 9 though.
I've never had 2002, I got a Dell Axim X3 with Windows Mobile 2003 Pre Loaded.
What i can say about it is every program i've tried to install regardless of what Pocket PC Operating system its for (as long as its designed for the ARM architecture) has worked.
Windows Media 9 Rocks - Excellent quality video files that are really small (<=40MB for 25 Minutes with CD Quality sound) plus Wifi works really well.

I upgraded to WM2003 on my iPaq and am very pleased. WM2003 is faster than PPC2002. My upgrade from HP was $35.00 (I think). Nelviticus is correct that the big difference is the connectivity, but there were other enhancements and also so bugs like the alarms not working everytime.
Will your apps work on WM 2003, yes if you get the upgrade from the company you got the app from. Most everyone has upgrade their software to run on WM2003. There is a chance you will have to install the VB run-times for so apps and also might have to install the .Net Compact Framework.
Can you go back if you do not like it - If I remember correctly, before you flash your ROM with WM2003 it makes a back up of the current image so that you can go back. I have heard though that some people tried to go back and it did not work, so proceed with caution.
