php messes up my apache

I installed Apache server. Alone, it works fine.
I also installed PHP, it also works fine alone when I check it from command prompt. But when I try to modify conf file in order to make PHP enabled as an Apache module(Not cgi), then apache server is not being able to start.
I checked everything from the web as to what I need to modify in the conf file. It is just not working. Any help would be appreciated. If needed, I can post my conf file.

By the way, as an fyi, I am running Win2k.

Did you copy php4ts.dll from your php directory to c:/winnt/system32?
And php.ini should reside in c:/winnt.
