I am getting this on startup? Server has 4GB memory though!

Warning: unable to allocate 'min server memory' of 2955MB.
 
How much memory does windows show? What version of Windows and what version of SQL are you using?

SQL Server 2000 EE

Windows 2000 and it shows 3.898 GB memory
 
Have you tried changing the setting to a lower number? Try like 1 Gig? Any reason that you're forcing SQL to take 3 Gigs or Memory on startup? As time goes on the SQL Server will take all the memory that it needs up to the limit that you give it.
