Performance problems after NT4-W2K upgrade

Hi,
We upgraded a Compaq Proliant 7000 server from NT4 to W2K and are now experiencing performance problems - eg high cpu when the box is not under load, Oracle slow to start/shutdown.
Does anyone have any suggestions as to what the problem could be. We have looked at drivers etc. but nothing obvious.

The box has 1 400 Mhz processor and 1GB RAM.
