Possibly that there is a IRQ conflict. Take out the modem, boot the PC and enter the BIOS. Check everywhere in the BIOS for either the word "modem", and also see how your IRQs are standing. Depending on how many devices are running on your PC, maybe there is a lack of IRQs. Modems tend to like IRQs= 1,2,3 and sometimes 5. However, sometimes the new operating systems like to make the IRQs 9 or even higher. This can also cause a problem. It looks like you are going to have to troubleshoot this one by yourself. It's too hard to ask somebody over the net.
