Password for VBA Project appears after Excel seems to have closed

Sometimes when I close Excel with a password protected project, the window for the project password appears. If I enter in the password it goes away or if I press the cancel button about 8 times it goes away. I can get this to always happen one one of my spreadsheets. I open the spreadsheet and press ALT-F11 to open the VBA Editor. I close the speadsheet using the X at the top of the window. The password window comes up after Excel has disappeared from the screen. Doing the same steps above without the ALT-F11 does not cause the password window to be displayed. If I take the viewing protection off of the project, no error occurs. This is not an option since the users can not see or modify the code. It happens more on XP but can happen on NT 4.0 as well. Any suggestions?
