After about 40 min. i get an out of memory error even though windows shows 80% resources free. Could this be hardware issue and or windows bug? Any help would be appreciated. I just upgraded to Me to see if that would help and im still getting out of memory errors. I am running 256MB of pc100 ram, KT7-raid motherboard. All my memory is recognized by windows.

The amount of memory and system resources are not the same. System resources is a combination of RAM, virtual Memory (Swap File), and how Windows uses them. Now, you should not get an out of memory error with windows ME. Have you updated ME? You could either have BAD memory or a corrupt install of Windows. If any one else has any ideas please let us know.

This sounds like a bad install, because I had a similar problem installing Windows NT 4.0 Server. It gave me a not enough memory error and I had just finished a fresh install of NT with no other programs on it just the OS. I would do another install of ME, also if you upgraded without reformatting the HD you could be carrying over problems from your previous OS. Windows ME isn't that slick to me, 98 has it's bugs, but with ME your adding more lines of code and more bugs. Give it a try, I hope this was of benefit.
