otm 2.2 and ip phones

We are changing our network from point to point t1s to an mpls and have to switch from analog to ip phones. we currently have a meridian opt 11c with otm 2.2 and are told that we will have to upgrade to TM 3.2 and completely overhaul our system to make this happen. I feel it is possible to do this without changing the world. Am I correct or does the world need to change?
 
You don't need OTM for administration. You can use command line if you know it. But upgrading to TM is cheap?
 
Because you have OTM on your customer record Order Pro automatically provides an upgrade because 2.2 does not know about the features in the newer releases of PBX software. If you do not use OTM then you do not need to purchase TM. If you do use OTM then you will have to purchase/upgrade to TM or it will not work properly.

I maintain my 2002 and 2004 IP phones with OTM 2.2. I believe you can still get additional IP phone licenses for 4.5. And I think the only IP phones that don't work under 4.5 is the 1200 series (and I've heard you don't want these).
