NT4 to W2K Server

I have a two server net;(1) NT4.5 Primary controler with SQL and Exchange, (2) NT4.5 Secondary with SNA connecting to a remote mainframe. I want to introduce (3) W2K as the primary, get at least SQL and maybe Exchange on to the W2K. Move or recreate SNA on the original primary NT4.5(1) as the second controller. The original secondary (2) is free.
What is the best way to do this?

I would build a new box with Win2000 on it. Run DCPROMO and run it as a DC with all FSMOs on it and Global Catalog. Keep it in Mixed Mode. Then if you want, install SQL and Exchange on it and migrate your data to it. It would be best to build another box as a Win2000 stand-alone and put SQL and Exchange on that, instead of everything on a DC.
