Well, let's start by posting more information, shall we?

- version of Windows
- description of hardware (type of RAM, motherboard, etc)
- how many tasks are running in the background

i've had this sort of problem before. Try uninstalling all the USB related drivers in Device manager, then rebooting. Hopefully it will install the driver for the modem first and the USB drivers will just find different resources.

Definitely tell us how much RAM you have. It would be good to know which resources are taking up all your RAM.
Also what kind of modem are we talking about?
Modems can be finicky. Have you tried removing the device in system devices and restarting the computer and reinstalling the driver or updating the driver?
Do you have all your windowsupdates installed - windowsupdates.microsoft.com ?

Howdy:

As cdogg requested, it is really important to know what you have running on your system when it boots up (programs, etc)..

System Resources have very little to do with the amount of RAM installed on your system.. System Resources is limited to the first 64kb of memory REGARDLESS if you have 64megs of ram or a gig of ram installed.. The more programs/options opening and running reduce those resources to the point where your system can slow right down, give error messages relating to a lack of resources or simply, lock up..

If you talk about irq resources .
Windows 2000/XP with APIC 1.4 enabled in bios will show 24 IRQs instead of the classic 15 or less interrupt lines.
