No Listening sockets on startup??? Apache2

[criit] 730038 Socket operation on non-socket: make sock for address 0.0.0.0 apr_socket_opt_set so (KEEPALIVE);
no listening sockets, shutting down

How can this be? I'm on a win98 box. I upgraded to perl 5.8. Now Apache won't run.

Has anyone else had this trouble? I tried it on another win98 system and it did the same thing. So I know it's not my windows software.
