NEW SERVER WON'T DCPROMO

So I had a main server crash and had to set up a new one...restoring old data/etc. Once I set it up I had to set up a new exchange server...or try to...as I tried to DCPROMO it it won't. Giving me the 5171 event ID. Which I looked up. I've tried the netdiag.exe /fix. It shows the same deregistration failures that are shown happening in the System log. The System log gives an error ID of 5775: NETLOGON...Dns operation refused...deregistration didn't work...etc. Any extra suggestions would be appreciated.
 
Is the DNS server in it's TCP/IP props a active-dir integrated dns server that is set to allow updates?

yes its an Active-Dir integrated DNS set to allow updates.

Some how that previous message got screwed up ! boot the pc up the server get it in safe mode and hit this Directory Services Restore Mode (Windows 2000 domain controllers only) good luck ..............
 
After reading that Exchange Server is recommended to run on a member server instead of a DC I just decided to skip trying to promote it. The installation seems to be a success but I can't get the MS Exch System Attendent/IMAP4/POP3/Info Store to start. ???
The DNS is set to the main DC. The AD on the memberserver/ExchSvr seems to be communicating with the DC because it replicates the DC AD with no problem.
