MySQL on MSI board won't start with WIN2k

I have set up MySQL of half a dosen different computers with no problems. I bought a new MSI MS6368 motherboard with Celeron 850 and MySQL refuses to start when I do mysqld-nt. I get the error unexpected termination. It seems to just about start and then packs up. Same when using winmysqladmin. I get the green light for a second and then it changes to red. Never had this problem with all other setups. Has anyone found incompatibility with any motherboards and/or win2K pro?????
