I'm ready to upgrade from version 5 learning edition--not that I've learned enough yet--and have noticed on ebay that version 6 is selling for more than .net 2003. Why is that. Is .net going to be too complicated for me. Please give me some opinions/advice. Is the professional/enterprise edition worth the extra cost, over the standard.

I have no idea why Visual C++ 6 would be going for more than .NET. The .NET IDE is better IMO, especially for dealing with multiple cpp and h files, but it isn't as user friendly for MFC (no ClassWizard). I never used VC++ 5, but I didn't have any trouble picking up .NET from 6, so you should eventually be able to figure it out. As far as professional/enterprise, look up the extra features that they have over standard and ask yourself if you need them or not. I would highly doubt that you need enterprise, but maybe professional, depending on what you want to do with it.

In addition, the .NET 2003 compiler is better, faster, and more standards-compliant than version 6.0.

You can get the 2005 Beta version for free with the IDE (I believe), and you can get the 2003 compiler tools without the IDE for free also.
