Can someone explain me why MS Internet Explorer needs to be "not working offline" for MSN Messenger to work?

I am assuming you mean that you have to be connected to the internet before MSN Messenger will work. This is most likely because MSN Messenger will look for a valid CRL site.
 
No, I'm talking about the "Work Offline" option in Internet Explorer. If this is set Messenger won't connect to its network.
 
This article mentions "Verify also that other Internet programs (such as Web browsers) are working properly" which indicates that it may need the browser to be online not offline.

It may well work if you don't have IE loaded in the first place?

While in Offline Mode a perhaps a port required by Messenger is blocked?
