moving exchange 5.5 to W2k-advanced

Recently we had an equipment failure and decieded to move to a new server. Is there a easy way to move exchange or all the data to the new server.
My solution is to connect both servers and run optimizer

OR

Install 5.5 on the new server and copy the mdb's from the old to new.

Any experience out there?
