Modem seen-won't dial out

i have a problem with my new modem (new system i built).
It's seen when quering but won't dial out. Takes a long time-says it's dialing but when i listen on another line-i hear nothing but the dial tone.
I bought another modem and the exact same thing. I've been building for years and thought i'd seen about everything.
this has me stumped and i don't want to tear it down and get new guts. Son starting school in a few weeks and i want it road tested.
I am networked but all of the settings are fine and the same as the others (always dial my default connection, etc.)
I had a fresh Win2K installation (same as others on network)but installed WinXP Pro Corp out of desperatation.
Really need the help-been working on it for a week.
