We're using Win 98 with AOL.

Everything is fine while the machine is on - the problem starts whe the the machine is shut down.

About an hour or so after shutdown the modem tries to dial out - I can't find any 'automated' task on the system that causes this. When the machine is boooted again, everything is fine the windows clock defaults to January 1st 1999.

Any ideas as to what the heck could be causing this?

Or is it gonna be (yet) another reformat & reinstall? :-(

Hmm, let's try and be crystal clear on this. When you say the machine is shut down, do you mean the power is off, or the computer is in stand-by mode? If you have a power strip or surge protector, is this turned off also? Is this an internal modem or external modem? What brand? When you say "tries to dial out," what are you hearing? The beeps when you dial a phone, or just the carrier sound? Have you done a thorough and updated virus scan? Are you using a firewall? Have you checked your system with Ad-Aware at ?
